TERMS OF SERVICE

FOR THE USE OF Skyworker BY A SPECIALIST

We are Skyworker Inc, a company, existing under the laws of USA, (hereinafter "Skyworker", "we", "us" and "our") and we operate a platform connecting specialists with companies (hereinafter "Company") looking for candidates through Skyworker website (hereinafter "Website"), intending to show them vacancies that may be or may not be opened yet ("Jobs for you") which are part of the companies strategic hiring plan, and specialized technical content produced by companies ("knowledge sharing"). The connection between candidates and companies is made through a chat on the platform https://skyworker.ai.

The term "you" or "specialist" or "candidate" refers to a natural person who has accepted these Terms of Service. By accepting these Terms of Service and using Skyworker service, you confirm that you have carefully read and understood these Terms of Service and you agree to be bound by these Terms of Service and policies referenced herein. When accepted by you, these form a legally binding agreement between you and us for using the service.

1. Skyworker SERVICE

1.1. Skyworker enables you to instantly get a selection of the top options for your requirements, immediately see information about the project and the team that is usually missing from the start, choose the most promising option of the best ones. For that purpose, you can create your own public or anonymous profile which shall include basic information about your expertise, experience, and expectations for the possible new job. You are also welcome to use our services in case you are currently unemployed and looking to get hired.

1.2. Skyworker uses an algorithm that will match your profile with suitable Companies and the vacancies or types of candidates they are hiring on a regular basis (you see them as jobs for you). You will be presented with only such job options, which requirements match with the information provided in your profile. If you are interested in any job offer presented to you by Skyworker then expose your interest by clicking "Apply" and start a chat with a company. Your profile (public or anonymous) will be shown to the companies that have created job options in your area and meet your expectations.

1.3. Once you have exposed your interest in a job option, you can start a conversation with the Company. A company can also start a chat with you if you have matched each other. If you have an anonymous profile, by applying for a job you automatically disclose your personal information (first and last name, e-mail address, CV) to this Company. Up until then your personal information provided in your anonymous profile shall not be available to the Company. You may also open your public profile for the Company by clicking "Open public profile" in a chat. For the avoidance of doubt, without the consent of the specialist, the Company does not have the opportunity to reveal the personal information in the anonymous profile of the specialist nor find out more about the specialist that provided on Skyworker platform. In a public profile, all the information provided by a specialist, excluding a password, is disclosed to the Company that is matched to the specialist.

2. USING THE SERVICE

2.1. In order to use Skyworker service, you shall create your own account which shall contain your first and last name, your e-mail and a password.

2.2. To complete the registration process, you will be asked to accept these Terms of Service. By doing so, you confirm that any registration information submitted by you is true, accurate and complete, and you agree to use the Skyworker service in compliance with these Terms of Service. For avoidance of doubt, you are able to use the website and Skyworker service only if you have accepted the Terms of Service. If you do not accept these Terms of Service, then your account registration shall be declined and your data thereof shall be deleted.

2.3. You may create your Skyworker account and enter into these Terms of Service if you are at least 18 years of age and have active legal capacity.

2.4. After the registration you will be able to unlock new opportunities by providing more information about your expertise (e.g. years of experience, skills, english level), work experience (e.g. industries, job title) and also information concerning the expectations (e.g. salary, work type, locations). You will be able to edit your profile information at any point, adding or removing information. While using the Skyworker service you shall provide accurate, complete, true and up-to-date information. Skyworker reserves the right to restrict your ability to use Skyworker website, if we have reason to believe that editing your profile is led from unethical or unfair purposes, information provided by you is misleading, inappropriate or unsuitable.

2.5. If you want to know more about the job option or the Company, you can expose your interest by clicking "Apply" on the vacancy or start a chat with a company in the Skyworker chatroom. Please be informed that Skyworker is participating in any conversation held in Skyworker chatroom. Thus, if you decide to share your contacts or any other personal data, then such data shall become known also to Skyworker. Skyworker recommends you not to disclose any personal data in Skyworker chatroom. Skyworker is collecting and processing any data exchanged by the parties in the Skyworker chatroom. It is your sole responsibility to ensure that you do not submit business secrets, know-how, confidential or other type of sensitive or valuable information via Skyworker chatroom. Skyworker will not disclose information received from specialists and Companies to third parties but Skyworker shall not be under any confidentiality obligation nor bear any liability for the loss, damage or negligent transmission of your valuable information to any third party.

2.6 We reserve the right to update, amend or replace any part of Terms of Service on the basis of objective reason. In case of update to the Terms of Service, Skyworker will notify you by posting revised terms on our website https://skyworker.io. Unless you delete your account within ten (10) days, the new terms will be effective immediately and apply to any continued or new use of our services.

3. PRIVACY

3.1. In order to provide you with the Skyworker service, we shall collect and process personal data related to you as provided in our Privacy Policy.

3.2. By accepting these Terms of Service and using Skyworker service, you acknowledge that you have read and understood the terms of our Privacy Policy and you agree to be bound by this.

3.3. Skyworker respects privacy and is committed to protecting the personal information that specialists share with us. Hereby we will give on request an overview of the data being collected, the legal basis for the processing of personal data, how we use personal data, third parties involved in the processing of specialist's personal data, safeguards applied in order to secure specialist's data, the Company's obligations in relation to the specialist's data processing and specialist's rights regarding the collected data.

3.4. Skyworker process only such personal data which has been obtained directly from the specialist.

3.5. We collect specialist's personal data only for the purposes of finding job options that match the specialist's profile and create analytics about the job market for him. All the data processing activities are conducted upon the specialist's permission, which is granted to Skyworker by accepting our Privacy Policy.

3.6. If the specialist decides to create a profile in order to use Skyworker service, then he is requested to provide his first and last name, his email and a password.

3.7. If the specialist wants to see matched job options, he is requested to provide information about experience in the areas he had worked, skills, English level, current location, his current job search situation, positions he is looking for, salary expectations, preferable type of work, type of profile (public or anonymous).

3.8. If the specialist wants to see more relevant job options, he may or may not provide information about whether he considers working in other locations, technologies he doesn't want to work with, types of companies he considers, domains he has worked with, domains he doesn't want to work with, add links to portfolio, describe his expectations and experience, add his current and previous workplaces (company name, job title, period of work, projects, technologies, mentorship/leadership experience).

3.9. If a specialist chooses an anonymous profile, we will not share personal specialist's information (last name, portfolio, companies names from workplaces, "About me" field) with any Company without a specialist's approval by applying for a job or clicking on "Open public profile" button in a chat. If a specialist chooses a public profile, we will share public specialist's information (last name, portfolio, companies names from workplaces, "About me" field) with the companies that have relevant job options to this specialist.

3.10. Skyworker will retain a specialist's personal data for no longer than it is reasonably necessary for the purposes for which the data were initially collected or processed. Specialist's personal data shall be deleted at the latest upon specialist's request.

3.11. Skyworker is using session cookies while operating the website www.skyworker.ai

Cookies are small data files stored on the user's computer, smartphone or another end device. Cookies help Skyworker to monitor and improve the functionality and usage of the website.

Skyworker platform users can delete or block cookies through their browser settings at any time. However, some cookies might be necessary for the functionality of the Skyworker website. Therefore, the user understands that when blocking or deleting the cookies some features of the website might not function correctly. 3.12. A specialist has the right to request access, erasure and removal of its personal data from Skyworker active files in the event the law prescribes such right. The specialist is also entitled to raise concerns about the handling of his personal data to us or to a Data Protection Supervisory Authority.

3.13. Skyworker reserves the right to alter the terms of the Privacy Policy at any time by updating the Privacy Policy on the Skyworker website.

4. TERMINATION AND DELETION OF YOUR ACCOUNT

4.1. These Terms Service shall remain in effect until terminated as set forth herein.

4.2. You have the right to delete your account at any time (no prior notification needed). Upon doing so our legal relationship is deemed to be terminated.

4.3. We have the right to terminate the legal relationship with immediate effect, by deleting your account, if you (i) have provided morally inappropriate, fraudulent, misleading or inaccurate information (ii) are not eligible or authorized to use Skyworker service or (iii) have materially violated any requirement stipulated in these Terms Service and have not remedied such violation (provided a remedy is possible and reasonable according to our opinion) within the term given by us.

4.4. After the deletion of your account, your data shall be stored in our database for another 31 day period. You may contact Skyworker for transmission of a copy of your data by that time. Once deleted, you will not be granted your data previously stored within the Skyworker platform.

5. LIABILITY

5.1. Skyworker service and any content, or services or features made available in conjunction with or through the website are provided "as is" and "as available" without any warranties of any kind either expressed or implied. To the fullest extent permissible pursuant to applicable law, we disclaim all warranties. We do not provide any guarantees to you regarding the Skyworker service and/or the website. In particular, we shall not be responsible for the following:

5.1.1. any interruption, discontinuance, suspension or other types of unavailability of the Skyworker service;

5.1.2. any interruption or cessation of transmission to or from the Skyworker service;

5.1.3. any bugs, viruses, Trojan horses or the like, which may be transmitted to or through the Skyworker service;

5.1.4. deletion of, corruption of, or failure to store any content or data;

5.1.5. the incompatibility of technologies used for accessing the Skyworker service.

5.2. Skyworker does not mediate any employment contract nor bear liability for legal relations created by you or the Company as a result of using Skyworker service. The terms of employment and any contractual arrangements shall be negotiated and agreed upon between you and the Company directly. For avoidance of doubt, Skyworker does not have control nor affiliations with any Company and is not liable for any behavior, responses or actions of any Company. Skyworker does not warrant, represent or guarantee that the information provided any Company is true and accurate.

5.3. Skyworker does not warrant, represent or guarantee that you will be able to find any job, position or offer by using the Skyworker service.

6. GOVERNING LAW AND JURISDICTION

6.1. Your legal relationship with Skyworker shall be governed by the laws of the USA.

6.2. Any disputes arising from or related to the Services shall be settled in a court of the USA.

We are Skyworker Inc, a company, existing under the laws of USA, (hereinafter "Skyworker", "we", "us" and "our") and we operate a platform connecting specialists with companies (hereinafter "Company") looking for candidates through Skyworker website (hereinafter "Website"), intending to show them vacancies that may be or may not be opened yet ("Jobs for you") which are part of the companies strategic hiring plan, and specialized technical content produced by companies ("knowledge sharing"). The connection between candidates and companies is made through a chat on the platform https://skyworker.ai.

The term "you" or "Company" refers to a natural person or legal entity who has accepted these Terms of Service. By accepting these Terms of Service and using Skyworker service, you confirm that you have carefully read and understood these Terms of Service and you agree to be bound by these Terms of Service and policies referenced herein. When accepted by you, these form a legally binding agreement between you and us for using the service.

1. Skyworker SERVICE

1.1. Skyworker enables you to instantly get a selection of the most relevant candidates for your requirements, immediately see information about a candidate in his profile, choose the most suitable candidate from the best ones. For that purpose, you can create a Company profile which shall include information about company expertise, offices, team, projects or products, and benefits; and Vacancies, that shall include information about requirements, conditions, projects or products and hiring information.

1.2. Skyworker uses an algorithm that will match your profile with suitable Candidates. You will be presented with only such candidates, whose expectations match with the information provided in your Company Profile and Vacancies. If you are interested in any candidate presented to you by Skyworker then expose your interest by starting a chat with a candidate via Skyworker Chatroom. Your Vacancies will be shown to all the candidates and will be in top for candidates who match your requirements.

1.3. A candidate can also apply for a Vacancy or start a chat with you. If a candidate has an anonymous profile, by applying for a Vacancy he automatically discloses hus personal information (last name, name of companies in workplaces, portfolio, "About me" field) to you. A candidate may also open his public profile to you in a chat. For the avoidance of doubt, without the consent of the specialist, you do not have the opportunity to reveal the personal information in the anonymous profile of the specialist nor find out more about the specialist that provided on Skyworker platform. In a public profile, all the information provided by a specialist, excluding a password, is disclosed to you.

2. USING THE SERVICE

2.1. In order to use Skyworker service, you shall create Company Profile and Vacancies. You may also create publications in Company Blog, which will be available for all the candidates on Skyworker.

2.2. To complete the registration process, you will be asked to accept these Terms of Service. By doing so, you confirm that any registration information submitted by you is true, accurate and complete, and you agree to use the Skyworker service in compliance with these Terms of Service. For avoidance of doubt, you are able to use the website and Skyworker service only if you have accepted the Terms of Service. If you do not accept these Terms of Service, then your account registration shall be declined and your data thereof shall be deleted.

2.3. You may create your Skyworker account and enter into these Terms of Service if you have active legal capacity.

2.4. After the registration you will be able to grow your conversion by using Vacancy Analytics and publishing content in Company Blog. You will be able to edit your Company Profile and Vacancies information at any point, adding or removing information. While using the Skyworker service you shall provide accurate, complete, true and up-to-date information. 3.5. We collect Company's personal data only for the purposes of finding candidates that match the Company's requirements and create analytics about the job market for you. All the data processing activities are conducted upon the Company's permission, which is granted to Skyworker by accepting our Privacy Policy.

3.6. If the Company decides to create a profile in order to use Skyworker service, then it is requested to provide information about Company title, company type, size, offices, products or clients, benefits, photos and logo.

3.7. If the Company wants to see matched candidates, it is requested to create a vacancy and provide information about vacancy title, required experience, skills, work location, salary budget, type of work, vacancy status.

3.8. Skyworker will retain a company's personal data for no longer than it is reasonably necessary for the purposes for which the data were initially collected or processed. Company's personal data shall be deleted at the latest upon company's request.

For avoidance of doubt, Skyworker does not have control nor affiliations with any candidate and is not liable for any behavior, responses or actions of any candidate. Skyworker does not warrant, represent or guarantee that the information provided any candidate is true and accurate.

5.3. Skyworker does not warrant, represent or guarantee that you will conclude a contract with a candidate by using the Skyworker service.

6. GOVERNING LAW AND JURISDICTION

6.1. Your legal relationship with Skyworker shall be governed by the laws of the USA.

6.2. Any disputes arising from or related to the Services shall be settled in a court of the USA.

8. PAYMENTS

8.1. Skyworker uses Stripe, Inc. as the third party service provider for payment services. By using the Service, Company agrees to be bound by Stripe Terms of Service (collectively, the "Stripe Services Agreement"), as the same may be modified by Stripe from time to time, and hereby consents and authorizes Stripe to share any information and payment instructions Company provides to the minimum extent required to complete your transactions. As a condition of Skyworker enabling payment processing services through Stripe, you agree to provide Skyworker accurate and complete information about you and your business.
